Overview

This website, nivelle.nyc (the "Site"), is operated by KAIN New York LLC, doing business as Nivelle.nyc ("Nivelle", "we", "us", "our"). Nivelle is a fine gold and diamond jewelry supplier serving retailers, brands, and businesses with wholesale, private label, and white label manufacturing programs. Our operations are managed from our offices in New York, and production is carried out through our vetted manufacturing partners.

By visiting the Site, creating an account, requesting a quote, or placing an order, you agree to these Terms of Service ("Terms"), together with our Privacy Policy, Shipping Policy, and Refund Policy, which are incorporated by reference. If you do not agree, please do not use the Site. We may update these Terms by posting a revised version here; your continued use after a change means you accept it.

1. Who may use the Site

You must be at least 18 years old and, if you are acting for a business, authorized to bind that business. Product pages and pricing are visible to all visitors. Trade, wholesale, and private label pricing and programs are available only to approved trade accounts. We may decline, suspend, or close any account at our discretion, including where information provided appears inaccurate or where an account is used in breach of these Terms.

2. Trade and wholesale accounts

To receive trade pricing you must apply for and be approved for a trade account. We may ask for business registration, resale certificate, tax identification, and references. Trade pricing, terms, and quantity discounts are confidential, are extended only to the approved account holder, and may not be shared or resold. Approved trade accounts are subject to any minimum order quantities, minimum order values, and payment terms stated in your quote, invoice, or account approval, which take precedence over the general terms on this Site where they differ.

3. Private label and white label programs

We manufacture fine jewelry to your specification and can apply your logo, hallmark, packaging, and branding ("Client Marks"). The following terms apply to private label and white label orders:

Your marks. You represent that you own or are licensed to use the Client Marks you supply, and you grant us a limited, non-exclusive license to use them solely to produce, package, and ship your orders and, unless you tell us otherwise in writing, to reference you as a client. You are responsible for any claim that Client Marks infringe the rights of a third party.

Our designs. Nivelle's catalog designs, CAD files, molds, models, and know-how remain the property of Nivelle even when produced under your brand, unless a separate written agreement assigns them to you. Designs you originate and pay development fees for are governed by that written agreement.

Specifications and approvals. Production begins once you approve the specification, CAD, or sample. Changes after approval may result in additional charges and revised lead times. You are responsible for confirming metal purity, diamond quality grades, sizes, and quantities before approval.

Confidentiality. Pricing, cost breakdowns, and product development shared between us are confidential and may not be disclosed to third parties without written consent, except as required by law.

4. Products, pricing, and quotes

Every piece is made to order. Product images are illustrative; natural characteristics of gold, diamonds, and hand finishing mean that pieces may vary slightly from images and from one another. Carat weights, dimensions, and quantities listed are approximate unless a tolerance is stated. Diamond quality grades are as stated on the product page, quote, or certificate.

Prices are in US dollars and exclude taxes, duties, and shipping unless stated. Because gold and diamond markets move daily, prices on the Site and quotes are subject to change until an order is confirmed and paid, and quotes are valid for the period stated on the quote. We reserve the right to correct pricing errors, to limit quantities, and to refuse or cancel any order, including after confirmation, with a full refund of any amount paid.

5. Orders, payment, and lead times

An order is confirmed when we accept it and payment (or the deposit stated on your invoice) is received. Payment may be made by the methods offered at checkout or, for trade accounts, by the methods and terms on your invoice. Confirmed made-to-order and private label orders may not be cancelled once production has started. Standard lead time is stated in our Shipping Policy; private label and custom orders follow the lead time on your quote. Lead times are estimates and may be affected by material availability, approvals, or events beyond our control.

6. Shipping, risk, and inspection

Shipments are fully insured and require an adult signature. Risk of loss passes to you on delivery. Please inspect every shipment on receipt and notify us within 7 days of delivery of any damage, defect, shortage, or discrepancy, with photos and your order number. Our Shipping Policy and Refund Policy contain full details.

7. Returns, exchanges, and warranty

Because every piece is made to order, we do not accept returns or offer refunds for change of mind. We replace or repair items that arrive defective, damaged in transit, or not as ordered, as set out in our Refund Policy. Trade accounts are covered by the return, repair, and warranty terms of their wholesale agreement or invoice. Normal wear, loss of stones caused by impact or damage, alteration by a third party, and improper care are not covered.

8. Certificates and compliance

Where a diamond is sold with a laboratory certificate, the certificate is issued by the laboratory named and we are not responsible for grading differences between laboratories. Our products are produced in accordance with the FTC Jewelry Guides and stamped with metal purity marks as required. You are responsible for compliance with the labeling, origin, and consumer laws that apply to your resale of the products, including any country of origin claims you make to your own customers.

9. Intellectual property and Site content

All content on the Site, including images, text, designs, and logos, is owned by or licensed to Nivelle and protected by copyright and trademark law. You may not copy, reproduce, or use Site content, including product photography, without our written permission. Approved trade accounts may request product images for their own listings.

10. Accounts and accuracy of information

You are responsible for keeping your account credentials secure and for all activity under your account. You agree to provide accurate, current, and complete information and to update it as needed. We rely on the information you provide to verify trade status and to fulfil orders.

11. Prohibited uses

You may not use the Site for any unlawful purpose, to infringe the rights of others, to transmit malicious code, to scrape or harvest data, to interfere with the Site's security, or to make false or misleading statements. We may terminate your access for any breach.

12. Disclaimer and limitation of liability

The Site and its content are provided "as is" without warranties of any kind, except as expressly stated in these Terms or required by law. To the fullest extent permitted by law, Nivelle, its members, officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost sales, arising from your use of the Site or the products. Our total liability for any order is limited to the amount you paid for that order.

13. Indemnification

You agree to indemnify and hold harmless Nivelle and its members, officers, employees, and partners from any claim, loss, or expense, including reasonable attorneys' fees, arising from your breach of these Terms, your Client Marks, or your resale of the products.

14. Governing law and disputes

These Terms and any order are governed by the laws of the State of New York, without regard to its conflict of law rules. Any dispute will be brought exclusively in the state or federal courts located in Nassau County or New York County, New York, and you consent to their jurisdiction. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

15. Entire agreement

These Terms, together with the policies referenced above and any written quote, invoice, or agreement between us, form the entire agreement between you and Nivelle regarding the Site and your orders. Where a signed agreement or invoice conflicts with these Terms, the signed agreement or invoice controls.
